Welcome to U.R Shop!

The terms "we," "us," and "our" refer to United International Athletic Recruiting (UIAR), operating U.R Shop. UIAR operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). U.R Shop is powered by Shopify, which enables us to provide the Services to you.

The terms and conditions below, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you are the age of majority and have given your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including accessing or browsing our online store or purchasing any products or services we offer, you may be asked to provide certain information, such as your email address, billing information, payment information, and shipping information.

You represent and warrant that all information you provide through our Services is correct, current, and complete and that you have all rights necessary to provide this information.

You are solely responsible for maintaining the security of your account credentials and for all activity conducted through your account. You may not transfer, sell, assign, or license your account to another person without our authorization.

We make reasonable efforts to provide accurate representations and descriptions of products and services offered through U.R Shop. However, colors, dimensions, packaging, materials, appearance, and other product characteristics may differ from how they appear on your screen because of device displays, manufacturer updates, supplier changes, production variations, or other factors.

We do not warrant that the appearance, fit, functionality, or quality of any product or service purchased through U.R Shop will exactly match photographs, digital renderings, mockups, descriptions, or other representations displayed through the Services.

Certain products may be manufactured, printed, fulfilled, shipped, supplied, or otherwise provided by independent third-party manufacturers, print-on-demand providers, dropshipping suppliers, distributors, technology companies, or fulfillment partners. Product availability, specifications, packaging, fulfillment times, warranties, and other characteristics may therefore vary by supplier.

References to third-party brands, manufacturers, technologies, or trademarks identify the applicable product or manufacturer and do not imply that UIAR or U.R Shop owns those trademarks or has an endorsement, sponsorship, partnership, or co-branding relationship with the trademark owner unless expressly stated.

All product descriptions are subject to change at any time without notice. We reserve the right to modify or discontinue any product and may limit quantities offered to any person, household, geographic region, or jurisdiction.

BIOMETRICS, FITNESS, WELLNESS, AND PERFORMANCE PRODUCTS

Certain products offered through U.R Biometrics™, U.R Fitness™, U.R Recovery™, U.R Energy™, or other U.R Shop collections may provide fitness, wellness, activity, recovery, biometric, body-composition, sleep, heart-rate, movement, or performance-related measurements, estimates, information, or insights.

Unless expressly stated otherwise, these products and related information are intended for general fitness, athletic-performance, wellness, educational, and informational purposes only. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition and are not substitutes for professional medical advice, diagnosis, or treatment.

Product capabilities, measurements, accuracy, algorithms, compatibility, applications, sensors, and limitations may vary by manufacturer and device. Customers should review manufacturer instructions and warnings before use.

If you have a medical condition, are taking medication, are pregnant, have an implanted medical device, or have concerns regarding whether a fitness, recovery, biometric, electrical, massage, or other device is appropriate for you, consult an appropriate healthcare professional before use.

SECTION 3 - ORDERS

When you place an order through U.R Shop, you are making an offer to purchase.

United International Athletic Recruiting (UIAR), operating U.R Shop, reserves the right to accept, reject, limit, or cancel an order for any lawful reason at our discretion. Your order is not accepted until acceptance is confirmed.

We must receive and process your payment before an order is accepted or fulfilled.

Please review your order carefully before submitting it. Depending on the product, supplier, manufacturing process, or fulfillment status, we may be unable to accommodate cancellation or modification requests once an order has entered production or fulfillment.

If we reject, modify, or cancel an order after it has been submitted, we will attempt to notify you using the email address, billing information, shipping information, or telephone number provided with the order.

Purchases are subject to our Return and Refund Policy.

You represent and warrant that purchases are made for lawful purposes. Unless otherwise expressly authorized, products purchased through U.R Shop are intended for personal or household use and not unauthorized commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts, promotional offers, coupon codes, credits, and other incentives are subject to change without notice.

The price charged for a product or service will generally be the price in effect when the order is placed and will appear in the applicable checkout or order confirmation.

Unless expressly stated otherwise, posted prices may not include applicable taxes, shipping charges, handling fees, customs duties, import fees, or similar charges.

Prices offered through U.R Shop may differ from prices available through manufacturers, suppliers, physical stores, marketplaces, promotional campaigns, events, or third-party retailers.

We may periodically offer promotions subject to additional terms and conditions. If promotion-specific terms conflict with these Terms regarding that promotion, the promotion-specific terms will govern to the extent of that conflict.

You agree to provide current, complete, and accurate purchasing, billing, payment, shipping, and account information for transactions conducted through U.R Shop.

You represent and warrant that payment information provided by you is accurate and that you are authorized to use the applicable payment method. You agree to pay all authorized charges associated with your purchase, including applicable taxes, shipping, and handling charges.

SECTION 5 - SHIPPING AND DELIVERY

Shipping and delivery times displayed through U.R Shop are estimates unless expressly guaranteed.

Because U.R Shop may use multiple manufacturers, print-on-demand providers, dropshipping suppliers, distributors, warehouses, and fulfillment partners, products contained within a single order may be manufactured or shipped separately.

Accordingly, customers may receive multiple packages, tracking numbers, shipment notifications, or delivery dates for products purchased within the same order.

Shipping rates, carriers, processing times, fulfillment locations, delivery estimates, and available destinations may vary by product and supplier.

We are not responsible for delays caused by shipping carriers, fulfillment partners, manufacturers, customs processing, severe weather, natural disasters, labor disruptions, inaccurate customer addresses, governmental actions, or other events outside our reasonable control.

International orders may be subject to customs duties, import taxes, brokerage charges, or other governmental fees. Unless otherwise stated at checkout, customers are responsible for applicable charges imposed by the destination jurisdiction.

Customers are responsible for providing a complete and accurate delivery address. Additional costs resulting from an incorrect or incomplete address may be the customer's responsibility to the extent permitted by law.

SECTION 6 - INTELLECTUAL PROPERTY

The Services and their original content, including without limitation U.R Shop branding, U.R-branded text, graphics, designs, images, videos, audio, product presentation, collection architecture, proprietary content, and other materials owned by UIAR, are protected by applicable copyright, trademark, and other intellectual property laws.

United International Athletic Recruiting, UIAR, U.R Shop, U.R Energy™, U.R Biometrics™, U.R Fitness™, U.R Recovery™, U.R Fuel™, U.R Lifestyle™, U.R Youth™, U.R Grind™, U.R Built Different™, and other U.R names, marks, slogans, designs, or identifiers displayed through the Services may constitute trademarks, service marks, trade names, branding, or other intellectual property of UIAR or its affiliates, subject to applicable rights and registrations.

These Terms permit you to use the Services for lawful personal and non-commercial purposes unless otherwise authorized.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, systematically extract, commercially exploit, store, or transmit protected material from the Services without appropriate authorization, except as permitted by applicable law.

Nothing in these Terms grants you ownership of or a license to any UIAR, U.R Shop, Shopify, supplier, manufacturer, or third-party intellectual property except as expressly provided.

Third-party names, logos, products, service names, designs, technologies, and trademarks displayed through U.R Shop remain the property of their respective owners.

Shopify's name, logos, products, service names, designs, and slogans are trademarks or intellectual property of Shopify or its affiliates.

SECTION 7 - OPTIONAL TOOLS

You may be provided access through the Services to tools, applications, integrations, payment technologies, product technologies, artificial intelligence functionality, or other services provided by third parties.

Unless expressly stated otherwise, we do not control such third-party tools.

Access to third-party tools may be provided "as is" and "as available," subject to applicable law and the terms established by the applicable third-party provider.

Your use of third-party tools is at your discretion and may be subject to additional terms, privacy policies, licensing conditions, or other requirements established by those providers.

We may introduce additional features, tools, integrations, or resources in the future. Unless otherwise stated, such features are considered part of the Services and are subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS AND PRODUCTS

The Services may contain materials, products, applications, integrations, or hyperlinks provided or operated by third parties.

We are not responsible for controlling or guaranteeing the accuracy, availability, content, privacy practices, security, or performance of independent third-party websites or services.

If you leave U.R Shop to access a third-party website or service, you do so subject to that third party's applicable terms and policies.

Please review third-party policies and practices before entering transactions or providing personal information.

Questions or claims concerning products manufactured or warranted directly by a third party may, when appropriate, need to be addressed to that manufacturer or supplier, although this does not limit any rights you may have against U.R Shop under applicable law.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

U.R Shop is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make in U.R Shop are made directly with United International Athletic Recruiting (UIAR), operating U.R Shop.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and U.R Shop, including any injury, damage, or loss resulting from purchased products and services, except to the extent otherwise required by applicable law.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to purchases and transactions with U.R Shop for which Shopify is not legally responsible.

SECTION 10 - PRIVACY POLICY

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Certain personal information may also be processed by Shopify in connection with hosting, commerce functionality, payments, fraud prevention, analytics, or other services.

Because the Services are hosted by Shopify, Shopify may collect and process information concerning access to and use of the Services to provide, secure, maintain, and improve its services.

Information submitted through the Services may also be transmitted to service providers, payment processors, manufacturers, fulfillment providers, shipping companies, analytics providers, applications, or other parties as necessary to operate U.R Shop and fulfill transactions, subject to applicable law and contractual requirements.

SECTION 11 - FEEDBACK

If you voluntarily submit, upload, post, email, or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans, testimonials, or other content concerning U.R Shop or our products and services ("Feedback"), you grant us, to the extent permitted by law, a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback for purposes including operating, evaluating, improving, and promoting our Services.

You represent that you have the rights necessary to submit such Feedback and that your submission does not violate applicable law or the rights of another person.

You must disclose compensation or incentives received in connection with a review or endorsement when required by applicable law.

We may moderate or remove Feedback that we reasonably determine violates applicable law, these Terms, intellectual property rights, or acceptable-use standards.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Information available through the Services may occasionally contain typographical errors, inaccuracies, outdated information, or omissions relating to product descriptions, measurements, pricing, promotions, offers, shipping charges, transit times, inventory, product specifications, or availability.

We reserve the right to correct errors, inaccuracies, or omissions and to update information when appropriate.

Where permitted by applicable law, we may modify or cancel an order affected by a material pricing, inventory, or product-information error. If payment has already been collected for a canceled order, an appropriate refund will be issued.

SECTION 13 - PROHIBITED USES

You may access and use the Services only for lawful purposes.

You may not use the Services to violate applicable laws or regulations; infringe intellectual property or privacy rights; engage in fraud, harassment, abuse, defamation, threats, or unlawful discrimination; transmit malicious software; distribute unlawful spam; impersonate another person or organization; interfere with security systems; obtain unauthorized access to accounts or systems; or otherwise misuse the Services.

You may not knowingly introduce viruses, malware, malicious code, automated attacks, or other technology intended to damage, disable, overload, scrape unlawfully, compromise, or interfere with the Services.

You may not circumvent security, access-control, rate-limiting, authentication, robot-exclusion, or other technological measures used to protect the Services.

Automated systems, including artificial intelligence agents, bots, crawlers, or similar technologies, may access or interact with the Services only to the extent permitted by applicable law, our published technical requirements, and any applicable Shopify requirements.

We reserve the right to restrict or terminate access when we reasonably determine that these Terms have been violated.

SECTION 14 - AGENTS

This section applies if you use, enable, or deploy software or a service that takes autonomous or semi-autonomous actions on behalf of a person or organization (an "Agent") to access or interact with the Services.

Agents must comply with applicable laws, these Terms, and applicable technical requirements established by U.R Shop, Shopify, or other service providers.

Agents must not conceal their automated nature where identification is required, circumvent CAPTCHAs or access controls, misrepresent themselves as human users, bypass security mechanisms, or avoid technological restrictions established to control automated access.

We may restrict, limit, suspend, or technically control whether and how Agents access or interact with the Services.

SECTION 15 - TERMINATION

We may suspend or terminate access to the Services, in whole or in part, where reasonably necessary to protect the Services, enforce these Terms, comply with applicable law, prevent fraud or abuse, or protect UIAR, customers, Shopify, suppliers, or other parties.

Termination does not eliminate obligations incurred before termination.

Provisions that by their nature should survive termination will continue to apply, including provisions concerning Intellectual Property, Feedback, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and other applicable surviving obligations.

SECTION 16 - DISCLAIMER OF WARRANTIES

Information presented through the Services is provided for general commercial, product, educational, fitness, wellness, or informational purposes, as applicable.

Except as expressly stated by UIAR or required by applicable law, the Services and products offered through the Services are provided on an "as is" and "as available" basis.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM WARRANTIES OR CONDITIONS NOT EXPRESSLY PROVIDED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will always be uninterrupted, error-free, completely secure, or continuously available.

Certain jurisdictions do not permit exclusions of particular warranties. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

SECTION 17 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNITED INTERNATIONAL ATHLETIC RECRUITING (UIAR), U.R SHOP, OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR SIMILAR DAMAGES ARISING FROM USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EXCEPT WHERE SUCH LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

Certain jurisdictions provide consumers with mandatory rights and remedies. These Terms are not intended to waive or eliminate such rights.

SECTION 18 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless United International Athletic Recruiting (UIAR), U.R Shop, Shopify, and their applicable affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, or liabilities arising from your material breach of these Terms, violation of applicable law, infringement of another person's rights, or unlawful misuse of the Services.

This obligation does not apply to the extent a claim results from the negligence, unlawful conduct, or other responsibility of an indemnified party where applicable law prohibits such indemnification.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or severed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Failure to exercise or enforce a right or provision under these Terms does not constitute a waiver of that right or provision.

These Terms, together with policies and additional terms incorporated by reference, constitute the agreement governing your use of the Services, subject to rights that cannot be waived under applicable law.

Any ambiguities will be interpreted in accordance with applicable law.

SECTION 21 - ASSIGNMENT

You may not transfer or assign your material rights or obligations under these Terms without our prior written consent where such consent is legally permitted to be required.

We may transfer or assign our rights and obligations in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, or other lawful business transaction, subject to applicable law.

SECTION 22 - GOVERNING LAW

These Terms and any separate agreements whereby we provide Services will be governed by and construed in accordance with applicable federal law and the laws of the State of Illinois, without regard to conflict-of-law principles, except where mandatory consumer-protection laws require otherwise.

To the extent legally permitted, disputes relating to these Terms or the Services will be subject to the jurisdiction of appropriate state or federal courts located in Illinois.

Nothing in this section eliminates rights or remedies that cannot lawfully be waived.

SECTION 23 - HEADINGS

Headings contained in these Terms are provided for convenience and organization only and do not limit or otherwise affect the meaning or interpretation of the provisions.

SECTION 24 - CHANGES TO TERMS OF SERVICE

You may review the current version of these Terms of Service through U.R Shop.

We reserve the right, subject to applicable law, to update, modify, or replace portions of these Terms by posting revised Terms through the Services.

Where legally required, we will provide notice of material changes.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.
